Facts:
You are a commercial contracts lawyer who has been retained by Iron Man, Hulk, Captain America, and Black Widow to help them understand their rights/responsibilities as per their negotiations with Disney re: the next Avengers movie.
The facts and issues are as follows:
a. Disney have advised Iron Man that he has “already done quite well” with the Avengers franchise and that the one-million dollars he received for the last Avengers movie is enough to cover him for this one. Disney say that: “all things being considered, $500,000 for each movie is more than enough!” As a result, Disney state that no extra money will be provided to Iron Man and that the deal is $500,000 for both movies.
Can Disney hold Iron Man to this deal?
b. Hulk has been offered increased payment if he provides advertisements and talk-show appearances in addition to the new movie. His current contract states that he is to receive one-million dollars for each movie that he acts in under the Avengers franchise. Disney has promised to pay Hulk an additional five-hundred dollars for acting in two advertisements and appearing on seven talk-show’s in the weeks leading-up to the release of the next Avengers movie.
Will Disney be bound to pay him the additional five-hundred thousand dollars?
c. Disney have offered Captain America one thousand dollars in consideration for him committing to the next Avengers movie. A movie takes around six months to shoot – six days a week, eight hours per day. Captain America is upset as Disney is set to make lots of money from the next Avengers movie.
Captain America wants to know whether one-thousand dollars is satisfactory in terms of constituting a legally binding contract?
d. Black Widow has been promised by Disney to be paid additional sums of money if she were to perform additional tasks – i.e. her own stunts and a singing part with Captain America. Although Black Widow has not previously performed these tasks, those tasks and were both foreseeable and noted when she signed her original contract.
Will Disney be bound to pay her the additional sums if Black Widow were to perform those additional tasks?
